McClay

Tom is a Managing Director at IMA Diligence Services, where he provides financial diligence services to private equity and corporate clients across the transaction lifecycle. His work spans both buy-side and sell-side engagements, supporting clients with diligence, structuring, negotiation, and post-close integration.

Tom brings a multidisciplinary background in accounting, tax, and law to each engagement, offering a unique perspective on complex transactions. He has led deal teams across a wide range of industries and transaction sizes, including cross-border deals in North America, South America, and Europe.

Before joining IMA Diligence Services, Tom held leadership roles in both professional services and industry. He was a Partner at an M&A-focused advisory firm, a Director in the Transaction Advisory Services practice at a large audit firm, and served as General Counsel for a publicly traded technology company, where he was involved in business sales and corporate restructurings.

Tom holds a Bachelor of Science from the State University of New York at Plattsburgh and a Juris Doctor from Pace University School of Law. He is a licensed CPA and has passed bar exams in Connecticut, New Jersey, and New York. He is a member of the American Institute of Certified Public Accountants and the Advertising Club of New York.
